General terms of engagement.

Terms applicable to services, products, software, training, support, consulting, digital content and any other service provided by Actual Trading.

These terms are intended to protect Actual Trading's professional activity while preserving any mandatory rights that consumers may have under applicable law.

1. Scope

These terms govern the purchase or engagement of products, services, software, AddOns, indicators, tools, developments, training, support, consulting, technical configuration, digital content and any other service offered by Actual Trading through its websites, proposals, emails, quotes or authorised channels.

Any engagement implies acceptance of these terms, any specific quote or proposal terms and, where applicable, the specific terms for software, technical services, training or digital content.

Where the client acts as a consumer, any mandatory consumer rights under applicable law will apply. Where the client acts in a business, professional or commercial capacity, the relationship may be treated as professional or B2B where legally applicable.

2. Pre-contract information and acceptance

Before contracting, the client must review the product or service description, scope, price, duration, payment method, technical requirements, limitations, terms of use, support included, installation policy, withdrawal rights where applicable and any specific condition communicated by Actual Trading.

Acceptance may be evidenced by signature, email confirmation, payment, express quote approval, form submission, acceptance checkbox, start of installation, licence activation or any other means showing the will to contract.

3. Prices and quotes

Prices shown on the website may be indicative when so stated. The valid price is the one confirmed by Actual Trading in the relevant quote, proposal, pro forma invoice, email or contract document.

Quotes remain valid for the period indicated. If no period is indicated, Actual Trading may update prices, availability, technical conditions or scope before final acceptance.

Prices do not include additional services, reinstallations, migrations, extraordinary configuration, out-of-scope support, travel, custom changes or services not expressly included.

4. Payment and service start

Actual Trading may require full or partial advance payment before installation, activation, service delivery, booking of time, development, training, support or supply of digital content.

Non-payment, chargebacks, payment disputes or unjustified delays may result in suspension of licences, services, support, renewals, deliveries or pending work.

5. Right to refuse where justified

Actual Trading may refuse a request for contracting, activation, installation, renewal or service before it starts where objective reasons exist, including technical incompatibility, impossibility of performance, lack of availability, security risk, reasonable suspicion of misuse, attempted copying, tampering, redistribution, fraud, conflict of interest, previous breach, risk to software protection or any circumstance that may compromise the service or Actual Trading's legitimate interests.

If the client has paid and the service, activation or installation has not started, any refund due will apply only to non-earned amounts, excluding accepted costs, consumed bookings, work performed or services already provided.

6. Client obligations

The client must provide accurate information, maintain the required technical environment, cooperate reasonably, follow instructions, protect credentials, prevent unauthorised access, comply with licence terms and use products or services diligently, lawfully and within the agreed scope.

The client is responsible for trading decisions, configuration, risk management, backups, data, devices, third-party licences, internet connection, NinjaTrader, brokers, data providers and any external element not controlled by Actual Trading.

7. Scope and exclusions

Only what is expressly stated in the product description, quote, proposal or specific terms is included.

Unless expressly agreed, unlimited support, personalised financial advice, account management, investment advice, repeated reinstallations, system recovery, hardware repair, third-party support, advanced configuration, custom changes, additional training, ongoing maintenance, migrations, urgent availability, out-of-hours support or guaranteed results are not included.

8. Changes, cancellations and rescheduling

Training, support, meetings, installations or interventions may be rescheduled for justified reasons, technical availability, lack of client cooperation, detected incompatibility, connection issues, client absence, force majeure or circumstances preventing proper delivery.

If the client cancels or reschedules at short notice, Actual Trading may treat the booked service as fully or partially consumed where resources were reserved, preparation was carried out or costs were incurred.

9. Digital products and services started at the client's request

For digital products, software, licences, activations, remote installations, personalised services, training or services started at the client's request, withdrawal rights may be limited or excluded in the legally permitted cases, especially where the client expressly requests the start of the digital supply or service before the legal withdrawal period ends and acknowledges the consequences.

This is without prejudice to any mandatory consumer rights that may apply.

10. Refunds

No refund will be due for services already provided, sessions delivered, work started, installations performed, activations completed, licence periods already started, support consumed, digital products supplied, booking slots consumed, personalised work or technical costs incurred, unless required by law.

No refund will be due for lack of use, change of mind, voluntary uninstallation, loss of configuration, change of computer, incompatibilities not disclosed before contracting, client modifications, third-party issues or impossibility caused by factors outside Actual Trading's control.

11. Intellectual property

All intellectual and industrial property rights in software, AddOns, indicators, automation, designs, texts, documentation, training materials, methodology, code, structure, visual assets, brands and developments belong to Actual Trading or their respective owners.

Contracting does not transfer ownership, exploitation rights, reproduction, distribution, adaptation, public communication, assignment, sublicensing or source-code access unless expressly authorised in writing.

12. No financial advice and no guarantee of results

Actual Trading products, services, software, training, analysis, indicators, AddOns, automation and content do not constitute personalised financial advice, investment recommendation, portfolio management or profit guarantee.

Futures, forex and other financial instruments involve substantial risk. The client is solely responsible for decisions, testing, trading activity, risk management and economic consequences.

13. Limitation of liability

Actual Trading will not be liable for economic losses, loss of profit, loss of opportunity, trading interruptions, external configuration errors, third-party failures, trading decisions, data loss, supervening incompatibilities, changes in external platforms, broker or data-provider issues, operating systems, antivirus, networks, hardware or indirect damages arising from the use or inability to use products or services, except where applicable law provides otherwise.

14. Suspension or termination

Actual Trading may suspend or terminate a service where there is non-payment, breach, misuse, abuse of support, lack of cooperation, negligent conduct, unauthorised transfer, attempted copying, tampering, fraud, security risk, impossibility of performance, serious technical incompatibility or any objective reason that makes continuation unreasonable.

Where the issue can be remedied, Actual Trading may request correction within a reasonable period. In serious breach, fraud, non-payment, tampering, risk to software protection or objective loss of technical trust, suspension or termination may be immediate.

15. Data protection and technical records

Actual Trading may process personal data and technical records necessary to manage contracts, licences, installations, support, billing, communications, security, abuse prevention, compliance and defence of legitimate interests, in accordance with the privacy policy.

16. Applicable law

These terms shall be interpreted under Spanish law, without prejudice to any mandatory rights that a consumer may have under applicable law.
