Software licences
Specific terms for software licence, installation and use.
Terms applicable to any software, AddOn, indicator, strategy, automation, panel, utility, script, development or module rented, licensed, installed, activated or supplied by Actual Trading.
Actual Trading is a commercial name/brand used by the natural person who owns the software, materials and services. Until a different legal entity is expressly stated, any effective contracting will be formalised with the natural person identified in the quotation, contract, invoice or acceptance document. The website is informational and validation-oriented; it does not constitute automatic contracting or direct online sale.

Important: these terms are not limited to AT Market Replay Data Pro. They apply to any current or future Actual Trading software unless expressly agreed otherwise in writing.
1. Scope
These terms apply to any software, AddOn, indicator, strategy, tool, automation, panel, utility, script, development, module or digital product that Actual Trading rents, licenses, installs, activates, supplies or makes available to clients, including current and future products.
They are not limited to AT Market Replay Data Pro and apply to any proprietary, adapted, configured or distributed software of Actual Trading unless expressly agreed otherwise in writing.
2. Licence of use, not sale
Contracting Actual Trading software does not constitute a sale of the software or transfer of intellectual property.
The client receives only a limited, temporary, personal, non-exclusive, non-transferable, non-sublicensable licence, revocable in the cases provided for and subject to compliance with these terms, for the contracted period and within the authorised environment.
3. No standalone installer or source code delivery
Unless expressly authorised in writing, Actual Trading does not provide end clients with source code, standalone installers, editable files, internal keys, licence mechanisms, protection systems, validation logic, private technical documentation or components that would allow copying, modifying, reinstalling, redistributing or using the software without Actual Trading's intervention or authorisation.
Installation, activation, update, review or reinstallation may be performed through a controlled process, remote assistance, managed import, technical validation, environment-bound licence or any other method defined by Actual Trading.
4. Authorised user, computer or environment
The licence may be linked to a user, email, computer, NinjaTrader installation, technical identifier, machine, operating environment, account or any reasonable control element used to verify authorised use.
The client may not install, activate, copy, migrate, use or make the software available on computers, users, installations or environments other than those authorised without prior approval from Actual Trading.
5. Initial installation and reinstallations
Unless expressly stated otherwise, the licence includes one initial installation or activation in the authorised environment.
A monthly, quarterly, annual or other fixed-term licence does not include unlimited reinstallations, computer migrations, new activations, machine changes, recovery of installations, support for external configurations or repeated technical interventions.
If the client uninstalls the software, formats the computer, changes computer, substantially modifies the environment, loses configuration, alters the NinjaTrader installation, replaces hardware, changes user or requires a new intervention for reasons not attributable to Actual Trading, reinstallation, reactivation, migration or assistance may be treated as an additional service subject to the applicable quote or fee.
6. Right to refuse reinstallations or new activations
Actual Trading may refuse a reinstallation, reactivation, migration or new technical intervention where there are reasonable indications of misuse, unauthorised transfer, licence tampering, attempted copying, breach, non-payment, support abuse, technical incompatibility, impossibility of performance or risk to software protection.
Where reinstallation is possible and not included in the contracted plan, Actual Trading may require prior payment of the relevant technical service.
7. Prohibited use
It is prohibited to sell, rent, assign, sublicense, lend, share, redistribute, copy, modify, decompile, remove protection, tamper with, extract, reproduce, publish, reverse engineer or attempt to access the internal logic of the software, licence systems, protection mechanisms, validation, encryption or internal operation, except within mandatory limits permitted by applicable law.
It is also prohibited to use the software to develop unauthorised copies, derivative products, competing tools, licence-circumvention systems or any use beyond the contracted scope.
8. Suspension, non-renewal or revocation
Actual Trading may suspend, decline renewal or revoke a licence where objective causes compromise the security, integrity, protection, licence control, commercial exploitation or proper operation of the software, including breach, non-payment, negligent or abusive use, unauthorised transfer, attempted copying, tampering, reverse engineering, third-party access, unjustified reinstallations, changes to the authorised environment or any conduct outside the contracted scope.
The measure will be proportionate to the seriousness of the issue. If the issue can be remedied, Actual Trading may request correction. Where there is risk to software protection, serious breach, fraud, tampering, non-payment or objective loss of technical trust, suspension or revocation may be immediate.
9. Software refunds
Where suspension, cancellation or revocation is caused by breach, misuse, gross negligence, tampering, unauthorised transfer, attempted copying, fraud, non-payment or a cause attributable to the client, no refund will be due for services already provided, periods already started, installations performed, activations completed, support consumed or technical costs incurred.
This is without prejudice to any mandatory consumer rights that may apply.
10. Updates and higher versions
The contracted licence does not guarantee free access to major versions, new features, additional modules, redesigns, future products, commercial extensions or higher versions.
Actual Trading may publish corrective, technical or maintenance updates at its discretion. New versions, advanced modules, additional features or commercial upgrades may require an additional contract, plan change or specific payment.
11. Technical compatibility
The client is responsible for maintaining a compatible, updated, stable and functional technical environment, including operating system, user permissions, NinjaTrader installation, market data, connection, sufficient hardware and any requirement indicated by Actual Trading.
Actual Trading is not responsible for incidents caused by changes in NinjaTrader, Windows, brokers, data providers, external licences, antivirus, third-party configuration, system updates, client modifications or incompatibilities not disclosed before contracting.
12. Software support
Support, where included, is limited to the ordinary operation of the contracted product in the compatible technical environment indicated by Actual Trading.
Unlimited support for NinjaTrader, Windows, brokers, market data, antivirus, firewalls, networks, hardware, external configurations, third-party installations, file loss, formatting, computer migrations, client-caused errors or incidents outside Actual Trading software is not included.
Any intervention outside the contracted scope may be quoted as an additional technical service.
13. Remote installation
Where installation or support is performed remotely, the client must be present or must have expressly authorised the intervention. The client is responsible for closing sensitive information not related to the service and for providing permissions, connection and suitable conditions.
